SmoredBoard Terms of Use

From everyone at Smored LLC, thank you for using our software! We built SmoredBoard to enhance your experience and give you the best soundboard we can.

Definitions

• When we say "Company", "we", "our", or "us" in this document, we are referring to Smored LLC
• When we say "Services", we mean our website (smoredboard.com) and any product created and maintained by Smored LLC, including the SmoredBoard soundboard software, SmoredBoard Pro, and their associated tools.
• When we say "You" or "your", we mean the people or organizations that own an account with or use any of our Services.

Acceptance of Terms

By downloading, installing, accessing, or using SmoredBoard or creating an account, you agree to these Terms of Use ("Terms"). We may update these Terms from time to time. If we make significant changes, we will update the date at the top of this page and do our best to notify account holders. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

Account Terms

• You are responsible for maintaining the security of your account and password. You are also responsible for all activity that occurs under your account.
• You may not use our Services for any illegal purpose or to violate any laws in your jurisdiction.
• You must provide accurate and complete information when creating an account.
• You must be a human. Accounts registered by bots or other automated methods are not permitted.
• You are responsible for keeping your account information up to date.

License and Restrictions

We grant you a limited, non-exclusive, non-transferable, revocable license to use SmoredBoard for personal or commercial purposes, subject to these Terms.

You may not:

• Modify, reverse engineer, decompile, or disassemble any part of SmoredBoard
• Remove, alter, or obscure any proprietary notices (including copyright notices) on SmoredBoard
• Use SmoredBoard to violate any applicable laws or regulations
• Use SmoredBoard to harass, abuse, threaten, or intimidate others
• Attempt to gain unauthorized access to our Services or related systems
• Use SmoredBoard in any way that could damage, disable, overburden, or impair our servers or networks
• Redistribute, sell, rent, lease, sublicense, or otherwise transfer SmoredBoard to any third party

SmoredBoard Pro Subscription

• Billing: SmoredBoard Pro is offered as a subscription service. By subscribing, you authorize us to charge your payment method on a recurring basis according to the billing cycle you select (monthly or annual).
• Cancellation: You may cancel your subscription at any time through your account settings or by contacting support. Cancellations take effect at the end of the current billing period. No refunds or credits will be provided for partial subscription periods.
• Price Changes: We may change subscription prices at any time. If we increase the price of your subscription, we will notify you in advance and the change will apply at your next billing cycle. You may cancel your subscription before the new price takes effect.
• Free Trial: If you sign up for a free trial, you will have access to SmoredBoard Pro features for the trial period. At the end of the trial, you will be charged unless you cancel before the trial ends.

Payment Terms

All payments are processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for all fees incurred. You are responsible for ensuring your payment information is accurate and up to date.

Refund Policy

All sales are final. We do not offer refunds for subscription fees except as required by law or at our sole discretion. If you believe you are entitled to a refund, please contact our support team at support@smoredboard.com.

Intellectual Property

SmoredBoard, including all software, designs, text, graphics, logos, and other content, is the property of Smored LLC and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any part of SmoredBoard without our express written permission.

User Content

You retain all rights to any content you create, upload, or use with SmoredBoard (such as custom sounds or configurations). We do not claim ownership of your content. However, you are solely responsible for ensuring that your content does not violate any laws, infringe on third-party rights, or violate these Terms.

Prohibited Uses

You agree not to use SmoredBoard for any of the following purposes:

• Harassment, bullying, or threatening behavior
• Impersonating another person or entity
• Distributing malware, viruses, or other harmful code
• Spamming or sending unsolicited communications
• Violating the privacy or intellectual property rights of others
• Any illegal activity or activity that violates local, state, national, or international law

Termination

We reserve the right to suspend or terminate your access to SmoredBoard at any time, with or without notice, for any reason, including but not limited to violation of these Terms. Upon termination, your license to use SmoredBoard will immediately cease.

Disclaimers

SmoredBoard is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that SmoredBoard will be error-free, uninterrupted, secure, or free from viruses or other harmful components. You use SmoredBoard at your own risk.

Limitation of Liability

To the maximum extent permitted by law, Smored LLC, its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use SmoredBoard
• Any unauthorized access to or use of our servers or any personal information stored therein
• Any interruption or cessation of transmission to or from SmoredBoard
• Any bugs, viruses, or other harmful code that may be transmitted through SmoredBoard
• Any errors or omissions in any content or for any loss or damage incurred as a result of your use of any content

Indemnification

You agree to indemnify, defend, and hold harmless Smored LLC, its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of SmoredBoard.

Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of SmoredBoard will be resolved in the state or federal courts located in Florida.

Security Vulnerability Reporting

If you discover a security vulnerability in SmoredBoard, please report it responsibly to security@smoredboard.com. We take security seriously and will respond promptly to legitimate reports.

Dispute Resolution and Class Action Waiver

We encourage you to contact us at support@smoredboard.com with any concerns. We care about our users and will do our best to resolve issues in good faith.

Any dispute or claim arising out of or relating to these Terms or your use of the Services will be resolved on an individual basis. You agree not to bring or participate in any class action, collective action, or representative proceeding against Smored LLC.

Survival

Any sections of these Terms that by their nature should survive termination will remain in effect even after you stop using our Services. This includes, but is not limited to: Reverse Engineering and Tampering, Copyright, Liability, Governing Law, Dispute Resolution and Class Action Waiver, Security Vulnerability Reporting, and this Survival clause.
